THE CONSTITUTION AND BY-LAWS OF
THE
84TH ENGINEER BATTALION ASSOCIATION (VIETNAM)

As amended and adopted Aug 10, 2005

NAME

A) The name of the parent association shall be the 84th Engineer
Battalion Association (Vietnam), also known as the 84th EBC Association
The name is subject to change with the approval of the Board
of Directors.

OFFICES

A) The official office of the 84th Engineer Battalion Association (Vietnam) shall be located at:

120 Quaker Hill Road
Warren, Pa 16365-1455

B) The Headquarters of the 84th Engineer Battalion Association (Vietnam)
shall be established at the Web Site:
www.84thengineers.com, or as determined by
the Board of Directors in a two-thirds vote.

PURPOSE

A) The Purpose of the 84th Engineer Battalion Association
(VIETNAM) are as follows:

1. To locate and bring together Vietnam Veterans who were members of
the 84th Engineer Battalion and its attached units while "In Country".

B) To foster and preserve the spirit of fellowship, and to provide an
organization through which members may unite in bonds of
comradeship.

C) To honor the memory of 84th Engineer Battalion soldiers who gave their
lives in service of our country.

D) To extend to each of our Brother Engineers and all fellow Vietnam
Veterans a hearty and sincere "WELCOME HOME!"

E) To promote self respect, as well as, self confidence of members of the
84th Engineer Battalion Association (Vietnam).

F) To create a lasting history of the accomplishments of the 84th
Engineer Battalion while in Vietnam, and to also help foster
pride with those who served with the 84th Engineer Battalion
during the Vietnam War.

MEMBERSHIP

A) The membership of the 84th Engineer Battalion Association
(Vietnam) will consist of an Executive Board. This will be
comprised of the following:

DIRECTOR*
SECRETARY*

*BOARD OF DIRECTORS

Elections for the above offices shall be held as follows:

*President & Vice President ----------- 3 Year Term
*Historian----------------------------- 2 Year Term
*Secretary----------------------------- 2 Year Term
*Director------------------------------ 2 Year Term
*Board of Directors-------------------- 2 Year Term

*Denotes Seats that are also considered
Board of Director Members

Elections will be held as follows:

The membership shall be notified via e-mail
and or by notice on the home page three weeks
before an election is to be held, that a vacant seat is
open and any and all interest in running for said seat
shall be e mailed to the Director of the 84th Engineer
Battalion Association. It will then be presented to
the Executive Board for review.

If there is NO RESPONSE, the incumbent(s) shall remain
in office until the next election.

B) In accordance with respect towards efforts put forth by the
Founding Members of the 84th Engineer Battalion Association
(Vietnam), said individuals, now herein identified as :

Paul Farley (Founding Member)
Paul Bylin (Founding Member)
Jerry Poss (Founding Member)
Dan Toomey (Founding Member)

All founding members, when no longer in office, shall remain
as Advisors for the 84th Engineer Battalion Association (Vietnam).
They may be included in any/all discussions regarding normal
business. They shall not carry a vote on any issues before the
Board of Directors.

C) Membership is open to any veteran who:

1. was a member of the 84th Engineer Battalion while in
the Republic of Vietnam.

2. was with ANY company that was attached to ANY company
within the 84th Engineer Battalion while in the
Republic of Vietnam. Each applicant must verify their
attachment to the 84th Engineer Battalion, which will
then be submitted to the Executive Board for review
and vote.

3. Membership is offered to those veterans who have received
an Honorable or General Discharge. The board of directors
will consider formal requests to waive this requirement and
a vote will determine if the exception is accepted.

4. All members are required to submit proof of their
Vietnam status as well as their connection to the 84th
Engineer Battalion during that time period. A DD-214,
as well as other documents may be submitted for review
by the President and the Board of Directors
determination of membership. In the event that it's
not practical for submission of documents it will be at
the Board of Directors discretion whether the
individual will be permitted to join.

5. Any member, in any capacity, can resign from active
participation in the 84th Engineer Battalion
Association (Vietnam). Although, as a courtesy, a
"Statement of Cause" should be submitted to the
Executive Board.

6. Any member serving on the Executive Board who is
REMOVED, shall not be permitted to hold a seat on the
Executive Board again, unless determined otherwise by
a two thirds vote of the Executive Board.

7. Any member serving on the Executive Board, including
the President and Vice President, that resigns, shall
not be permitted to hold a seat on the Executive
Board for a period of 1 year.

OFFICERS

A) The President of the 84th Engineer Battalion Association (Vietnam)
will serve as the CEO (Chief Executive Officer), and will oversee
the control of ALL the business affairs of the 84th Engineer
Battalion (Vietnam). He will oversee the operations, maintain
the Web Site, to the best of his ability. The President may deligate the
maintance of the web site to another 84th EBC member if he does not
have the rquired skills to preform the maintance himself or is unable
for any reason to maintain the site.
(The President shall always retain controll over the web site content).

B) The Vice President will assist and support the President in his
efforts in a manner outlined by the President himself.

C) The Secretary shall maintain (copy of e-mails and/or U.S. mail)
to a folder on their computer, or elsewhere to maintain a database of
official business) communications of official 84th business, and will
assist and support the President and Vice President, if so requested.

D) The Director shall be the main contact for general questions from
both the membership and the public. He/she shall also keep an eye
on the buletin board and the guestbook in order to answer inquiries.
The Director, when making replys to inquiries, shall cc the BoD as well.

E) The Historian shall maintain the unit history. He/she shall also try
to follow the 84th's current activity and record any accomplishments,
awards, etc.
The historian shall handle communications from any veteran seeking history
of the 84th Engineers, or any attached unit. 
These communications are not required to be recorded by the
Historian or Secretary of the Association.
It may, however, be done voluntarily by the Historian."

All information regarding the History of the 84th Engineer Battalion
or Attached Units be documented prior to being listed in the History section.
  All documents be maintained by the current Historian. 
Upon the election of a new Historian all records,
documents and history research sources be transferred
from the outgoing Historian to the new Historian

F) When needed, the Vice President will act in place of the
President. He will perform ALL duties and responsibilities as
established by the Executive Board.

G) All communications between the entire Executive Board,
(President; Vice President; Secretary; Historian; Director) shall be considered
privilaged communications and are not to be shared with anyone outside the BoD.
Only the final decisions, voting results, etc.., shall me made public. Severe disciplinary
actions, by a BoD vote, may be taken.

COMMITTEES

A) The Executive Board may create any committee that will gain
information or prepare the same, or serve for the betterment of the
84th Engineer Battalion Association (Vietnam).

B) Committee Chairmanship(s) and Committee members shall be
nominated by the Executive Board. The Executive Board will then vote
on the nomination.

DISCIPLINE

A) Any member found to be "unworthy" of membership, by actions
and or deeds, can be refused continual membership in the 84th
Engineer Battalion Association (Vietnam).

B) If a member presents conduct that does not best represent the
84th Engineer Battalion Association (Vietnam) and it's
interests, any Executive Board member can ask him/her to
surrender his/her membership. If he/she refuses, the case to
rescind said membership shall be taken to the Executive Board.

AMENDMENTS

A) In the case of future additions to the 84th Engineer Battalion
Association (Vietnam), i.e.; the Additional Office Position(s),
the core of this document may be amended by a two thirds vote
by the Executive Board.

FISCAL YEAR

A) The fiscal year for the 84th Engineer Battalion Association
(Vietnam) shall commence of the first calendar day of January
and end on the last calendar day of December.

SEAL

A) If required, either by this document, or by law, a seal will
be available for use as deemed by the Executive Board.
